Terms of Service

Effective date: April 4, 2026. Please read these terms carefully before using SHŌ Connect.

1. Acceptance of Terms

By accessing or using the SHŌ Connect platform ("Platform"), operated by SHŌ Media ("we," "us," or "our") at sho.media, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-platform notification.

2. Platform Description

SHŌ Connect is a business-to-business (B2B) creative marketplace that connects brands and organisations with vetted creative professionals across Southeast Asia, headquartered in Bali, Indonesia. The Platform facilitates project discovery, brief management, creator matching, secure escrow payments, project tracking, communication, and equipment rental services.

SHŌ Connect acts as an intermediary platform. We are not a party to the agreements between Clients and Creators, and we do not guarantee the outcome of any project.

3. User Accounts & Registration

To use SHŌ Connect, you must register for an account and select the appropriate role:

  • Client (Brand) — Businesses or organisations seeking creative services.
  • Creator— Independent creative professionals offering production, photography, videography, editing, or related services.
  • Admin— Platform administrators managing operations and dispute resolution.
  • Rental Partner — Equipment providers offering gear rental through the Platform.

You are responsible for:

  • Providing accurate, current, and complete registration information.
  • Maintaining the security of your account credentials.
  • All activity that occurs under your account.
  • Completing identity verification (KYC) as required by the Platform.

You must be at least 18 years old and legally capable of entering into binding agreements to register for an account.

4. Creator Obligations

As a Creator on SHŌ Connect, you agree to:

  • Maintain an accurate and up-to-date profile, including your portfolio, skills, rates, and availability.
  • Deliver work that meets the quality standards outlined in each project brief.
  • Meet all agreed-upon deadlines. If you anticipate delays, you must communicate proactively with the Client and SHŌ Connect.
  • Respond to messages and revision requests in a timely manner.
  • Comply with all applicable laws and regulations, including Indonesian tax obligations.
  • Not solicit Clients for off-platform transactions to circumvent Platform fees.

5. Brand/Client Obligations

As a Client on SHŌ Connect, you agree to:

  • Provide accurate, detailed, and complete project briefs including deliverables, timelines, and budget.
  • Fund the escrow account promptly upon accepting a Creator for a project.
  • Provide timely feedback and approvals on deliverables to avoid project delays.
  • Treat Creators with professionalism and respect.
  • Not request work outside the agreed scope without adjusting the brief and compensation accordingly.
  • Not solicit Creators for off-platform transactions to circumvent Platform fees.

6. Escrow & Payment Terms

All payments on SHŌ Connect are processed through our secure escrow system, powered by Xendit. Payments are denominated in Indonesian Rupiah (IDR).

How escrow works:

  1. The Client funds the escrow upon accepting a Creator and approving the project brief.
  2. Funds are held securely by SHŌ Connect during the project.
  3. Upon Client approval of the final deliverables, funds are released to the Creator, minus applicable Platform fees.
  4. If a dispute arises, funds remain in escrow until the dispute is resolved (see Section 9).

Payout process:

  • Creator payouts are processed within 3–5 business days after deliverable approval.
  • Payouts are made to the bank account or payment method registered and verified on the Creator's account.
  • Creators are responsible for any taxes owed on income received through the Platform.

7. Platform Fees

SHŌ Connect charges the following fees:

Creator Commission: 15–22%

Deducted from the project payment before payout to the Creator. The exact rate depends on the Creator's tier, project volume, and account standing.

Client Service Fee: 5–7%

Added to the project total and charged to the Client at the time of escrow funding. The exact rate depends on the Client's subscription tier and project value.

Fee schedules may be updated with 30 days' notice. Current fee rates are always visible in your account dashboard before confirming any transaction.

8. Intellectual Property

Creator retains IP until payment: The Creator retains all intellectual property rights to deliverables until full payment has been released from escrow.

License upon completion: Upon successful payment release, the Creator grants the Client a perpetual, non-exclusive, worldwide license to use the deliverables for the purposes outlined in the project brief, unless a different arrangement is specified in writing.

Transfer of ownership: Full transfer of intellectual property ownership (work-for-hire) must be explicitly agreed upon in the project brief before work begins.

The Creator retains the right to display deliverables in their portfolio unless the project brief includes a confidentiality or non-disclosure clause.

9. Dispute Resolution

If a dispute arises between a Client and a Creator, the following process applies:

  1. Direct Resolution: The parties are encouraged to resolve the dispute directly through the Platform's messaging system.
  2. Admin Review: If direct resolution fails, either party may escalate the dispute to the SHŌ Connect admin team within 14 days.
  3. Resolution Types: The admin team may determine one of the following outcomes:
    • Full release of escrow to the Creator.
    • Full refund of escrow to the Client.
    • Partial release/refund based on work completed.
    • Requirement for additional revisions before payment release.

SHŌ Connect's dispute resolution decisions are final and binding for amounts held in escrow. For disputes exceeding the scope of Platform resolution, parties may pursue remedies under Indonesian law (see Section 15).

10. Content Guidelines

All users of SHŌ Connect agree not to:

  • Upload, share, or create content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Post spam, unsolicited promotions, or misleading information.
  • Infringe on the intellectual property rights of others, including using copyrighted material without permission.
  • Upload content that contains malware, viruses, or harmful code.
  • Impersonate other users, brands, or entities.

SHŌ Connect reserves the right to remove content that violates these guidelines and to suspend or terminate accounts of repeat offenders.

11. Privacy

Your use of SHŌ Connect is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

12. Equipment Rental Terms

SHŌ Connect facilitates equipment rental through verified Rental Partners on the Platform. When renting equipment:

  • Rental agreements are between the renting user and the Rental Partner. SHŌ Connect facilitates the transaction but is not a party to the rental agreement.
  • The renter is fully liable for any damage, loss, or theft of rented equipment during the rental period.
  • Equipment must be returned in the same condition as received, subject to reasonable wear and tear.
  • Late returns may incur additional fees as specified by the Rental Partner.
  • Renters must provide valid identification and may be required to place a security deposit.

SHŌ Connect is not responsible for equipment malfunction, availability, or the condition of rented gear.

13. Limitation of Liability

To the maximum extent permitted by applicable law, SHŌ Connect and its affiliates, officers, directors, employees, and agents shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Loss of profits, data, business opportunities, or goodwill.
  • The quality, safety, or legality of services provided by Creators or equipment provided by Rental Partners.
  • Any actions or omissions of other users of the Platform.

SHŌ Connect's total liability for any claim arising from these Terms shall not exceed the total fees paid by you to SHŌ Connect in the twelve (12) months preceding the claim.

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

14. Termination

By you: You may terminate your account at any time by contacting us or through your account settings. Termination does not affect obligations arising from projects already in progress.

By us: We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice, except in cases of serious misconduct.

Upon termination, any funds held in escrow for active projects will be handled according to the dispute resolution process outlined in Section 9.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising from or relating to these Terms that cannot be resolved through the Platform's dispute resolution process shall be subject to the exclusive jurisdiction of the courts of Denpasar, Bali, Indonesia.
